Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Joisk Studios Inc.(“Joisk,” “we,” “us,” or “our”) and govern your access to and use of the Joisk website, builder, hosting, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Who can use Joisk

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service, and at least 18 to sell, receive payouts, or enter into paid transactions. If you use the Service on behalf of an organization, you represent that you're authorized to bind it to these Terms.

2. Your account

You're responsible for your account, for keeping your login credentials secure, and for all activity that happens under it. Tell us promptly if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk or legal exposure for us, you, or others.

3. Building with Joisk

Joisk lets you create apps, sites, stores, games, and other projects by describing them to an AI builder. You own the projects you create and the original content you contribute, subject to the rights you grant us below and to the terms that apply to AI-generated assets.

AI output can be wrong, insecure, or unintentionally similar to existing material, and purely AI-generated content may not be protectable by copyright. You are responsible for reviewing, testing, and deciding whether anything you build is fit to publish or sell. Use of certain premium generators is additionally governed by our Generative-content terms.

4. Plans, credits & billing

Some features require a paid subscription (a “Plan”) and/or consume credits. Plans renew automatically, monthly or annually, as you selected, until cancelled. You can cancel anytime from your account; access and any recurring credit grant continue through the end of the current billing period, and we don't provide prorated refunds for partial periods except where required by law.

Credits are a prepaid, internal unit used to meter AI generation and related compute. Credits have no cash value, are non-transferable, and aren't redeemable for money. Plan-included credits may expire at the end of each billing period; separately purchased credit packs persist while your account is in good standing. Prices, credit allotments, and included limits may change; we'll give notice of material changes and they take effect on your next renewal.

Payments are processed by Stripe. You authorize us and Stripe to charge your payment method for the amounts you incur, including subscription fees, credit purchases, and metered overages described below.

5. Hosting, storage & usage limits

When you publish a project, we host it for you. Each Plan includes an amount of storage and monthly bandwidth. If a published project (including a free one that others can use) exceeds your included bandwidth, additional usage is billed as a metered overage to your payment method on file. We'll warn you as you approach your limit. You're responsible for the usage your published projects generate, including traffic driven by others.

6. Selling from your own app

Joisk lets you charge your own customers from an app you build and publish (“your app”). Joisk provides the software that creates the checkout. Joisk does not sell your products, does not run a marketplace, and is not a party to any sale you make. Discover is a free directory: posting, playing, and downloading there involve no payment and no fee.

You are the merchant of record. When a customer buys from your app, the payment is created directly on your own connected Stripe account, and the funds settle to you. Joisk never takes possession of, holds, or forwards your customer's money, and currently takes no commission on these sales. Because you are the merchant of record, you are solely responsible for: describing and pricing what you sell accurately, delivering it, applicable sales, use, VAT, GST or other taxes and any registration or remittance they require, invoices and receipts, refunds and returns, chargebacks and disputes (including any fees, reversals, or negative balances they cause), consumer-protection and distance-selling obligations, export and sanctions compliance, and your own privacy obligations to your customers. You must have the rights to everything you sell.

Getting paid. To charge customers you must complete Stripe Connect onboarding and satisfy Stripe's identity, tax, banking, sanctions, and risk checks. Your relationship for payment processing is with Stripe under Stripe's own agreement, and Stripe — not Joisk — determines whether your account may accept charges or receive payouts. Joisk cannot release, accelerate, reverse, or recover funds on your behalf, and cannot resolve a dispute between you and your customer. If Joisk ever introduces a commission on these sales, we will give notice in advance and it will not apply to sales made before it takes effect.

Buying from someone's app. If you buy something from an app published on Joisk, your contract is with that creator, not with Joisk. The creator sets the price and terms, delivers the item, and handles refunds and support. Joisk does not review, endorse, guarantee, or take responsibility for what creators sell. Direct refund, cancellation, and complaint requests to the creator. If a creator's app breaks our Acceptable use rules you can report it and we may remove it, but removal does not entitle you to a refund from Joisk, which never received your money.

Physical goods link out.Where an app offers a physical product, the purchase happens on the creator's own external store, under that store's terms. Joisk does not process the payment, collect tax, fulfill, ship, or handle returns for physical products.

What you pay Joisk. Your relationship with Joisk is your Plan and your credits, described in Plans, credits & billing. Those are charged by Joisk and are separate from anything you earn from your customers. Money you earn from your own customers is yours and never passes through Joisk; it is not credits, does not appear as credits, and cannot be converted into credits. 7. Your content & the license you grant us

You keep ownership of the projects, assets, listings, messages, and other materials you submit (“Your Content”). To operate the Service, you grant Joisk a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and technical purposes), publicly display, and distribute Your Content as needed to provide and promote the Service — including hosting your published projects, showing your creator profile, and serving your app to the people who use it. This license ends when you delete Your Content or close your account, except for content your own customers have already purchased or that we must retain for legal, security, or backup reasons.

8. Acceptable use

You agree not to use the Service to create, publish, sell, or distribute anything that:

  • infringes someone else's intellectual property, privacy, or other rights;
  • is illegal, fraudulent, deceptive, or promotes harm, hate, or violence;
  • is sexually exploitative of minors, or otherwise abusive or harassing;
  • contains malware, or is designed to disrupt, overload, or gain unauthorized access to any system;
  • circumvents our usage limits, billing, security, content moderation, or rights-management; or
  • violates these Terms, our policies, or applicable law.

We may review, moderate, gate, remove, or disable access to content or accounts that we believe violate these rules, and may report illegal activity to authorities.

9. Copyright & takedowns

Joisk Studios Inc. is based in Ontario, Canada and follows Canada's notice-and-notice regime: when we receive a valid notice that content infringes your copyright, we act on it and, where required, forward it to the responsible user. We may remove or disable access to infringing material and terminate repeat infringers.

For rights holders in the United States, we also accept notices under the U.S. Digital Millennium Copyright Act (DMCA). Send a notice to legal@joisk.com (or via our contact page) identifying the work and the infringing material (with a URL), your contact information, a statement of good-faith belief that the use isn't authorized, and a statement, under penalty of perjury, that your notice is accurate and you're authorized to act. We process valid counter-notices as well.

10. Third-party services

The Service relies on third parties, including Google Firebase, Google Cloud, and Stripe, and may link to or integrate external sites and stores (such as a creator's own shop). We're not responsible for third-party services or content, and your use of them may be governed by their own terms.

11. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, secure, or that AI output or user-generated content will be accurate, lawful, or suitable for any purpose.

12. Limitation of liability

To the maximum extent permitted by law, Joisk and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the claim, or USD $100.

13. Indemnification

You agree to indemnify and hold harmless Joisk from claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your projects or listings, your sales, or your violation of these Terms or applicable law.

14. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access for violations of these Terms, legal or security risk, or non-payment. On termination, your right to use the Service ends; sections that by their nature should survive (including content licenses already granted to people who bought from your app, payment obligations, disclaimers, liability limits, and indemnities) survive.

15. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to the class-action waiver below, you agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to the Service, except where applicable law gives you the right to bring a claim elsewhere.

Class-action waiver. To the fullest extent permitted by applicable law, you and Joisk agree that each may bring claims against the other only in your or its own individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If this waiver is found unenforceable for a given claim, that claim (and only that claim) is severed and may proceed in court, but the rest of this section still applies.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the “Last updated” date and, where appropriate, give additional notice. Continuing to use the Service after changes take effect means you accept the updated Terms.

17. General

Entire agreement. These Terms, together with our Privacy Policy, Refund Policy, Generative-content terms, and any policies referenced in them, are the entire agreement between you and Joisk about the Service and supersede any prior agreements.

Severability & waiver.If any provision is found unenforceable, the rest stays in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision isn't a waiver of it.

Assignment. You may not assign or transfer these Terms without our consent. We may assign them, for example in connection with a merger, acquisition, or sale of assets. These Terms create no third-party beneficiaries, except that the rights of someone who has bought content survive as described above.

Force majeure.We aren't liable for delays or failures caused by events beyond our reasonable control, including outages of third-party providers, network failures, or acts of god.

Notices & electronic communications. You consent to receive notices and communications from us electronically (by email or through the Service). We may give notice to you at the email on your account; you can reach us at the addresses below.

Export & sanctions. You may not use the Service if you are subject to applicable sanctions or located in an embargoed jurisdiction, and you agree to comply with applicable export-control and sanctions laws.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free license to use it without restriction or obligation to you.
